Definitions

  1. Zwavelpoort Trading (Pty) Ltd is the party supplying equipment for sale and is hereafter referred to "The Seller"
  2. Any person, firm or company or legal entity purchasing goods, virtual or physical, is herein referred to as "The Purchaser"
  3. Any service, physical goods, virtual goods, electronic products, sold on this web site is referred to as "The Goods" or "Goods"
  4. Supplier will refer to the suppliers of goods of Zwavelpoort Trading (Pty) Ltd.

Sales medium / process

  1. The online sales portal makes available goods for sale to customers based on the availability of goods from the suppliers of such goods.
  2. To physical stock is held at the premises of Zwavelpoort Trading (Pty) Ltd from where the online portal is operated.
  3. On receipt of an order, shipping and delivery will be arranged with the purchaser as required.
  4. Upon receipt of an order, the seller will execute the order with due diligence unless circumstances prevents the execution of such order.

Selling price

  1. The prices of goods will be the prevailing price of the seller at the date of execution of the order.
  2. The price indicated on check-out is the amount due by the purchaser and the purchaser agrees to pay the amount over to the seller without delay.
  3. The seller, may, at its discretion charge additional fees where cost is incurred, such as, for delivery, for certain payment methods.
  4. All prices attracts Value Added Tax and will be indicated as such on all relevant documentation.

Marketing Campaigns

  1. The seller may, from time to time alter the selling price through various campaigns aimed at stimulating the movement of stock. Such campaigns may be targeted at certain individuals, or sub-section of the client base or potential client base as deemed fit.
  2. Where such campaigns comes into affect after the purchaser placed an order, such a purchaser will not be entitled to a refund, rebate to that affect.
  3. For orders placed before such campaigns came into affect, the purchaser will not be entitled to hold any fund back.

 Payment

  1. Payment of all goods must be made within 7 days from the date of order.
  2. No goods will be delivered without full payment from the purchaser.
  3. In the event of the Purchaser failing to make payment, such unpaid order(s) will be cancelled.
  4. Any cost incurred related to the processing of such unpaid order, will be deducted from the returned funds to the purchaser.

Short delivery of goods

  1. Any claims of short delivery must be made in writing immediately upon receipt of the goods.
  2. No claims of shortage will be recognised once a delivery describing the goods have been signed by an authoritative person in the employment of the purchaser or the purchaser himself.

Warranty

  1. The Seller warrants that all goods sold the the purchaser shall be free of defects and will confirm the specification from the respective manufacturers.
  2. Should a defect be present, or presents itself within the manufacturer's warranty period, the purchaser shall notify the seller to the nature of such defect.
  3. Should a warranty claim arise, the purchased will work with the seller in conjunction with the manufacturer to remedy the defect(s) which warrants the claim.
  4. Any shipping costs associated with the transport of replacement goods will be for the account of the purchaser if not covered by such warranty.

Ownership of goods

  1. Ownership of all goods sold in terms of this agreement, shall vest in the seller until full payment of the order is received.
  2. On the receipt of payment the seller will ship the goods to the seller with due diligence without any delay.
  3. The seller will not be liable for delays due to logistical arrangements which does not fall within the influence of the seller.

Installation of equipment

  1. Unless stated to the contrary, installation of goods is excluded from the sales agreement.
  2. Zwavelpoort Trading (Pty) Ltd, upon request, will make available the relevant personnel with required qualification to assist with the installation of equipment.
  3. Electronic equipment intended for the generation of electricity needs to be installed by a qualified person with supporting documentation as required by laws and by-laws of the Republic of South Africa.
  4. In the absence of such supporting documentation, no claim shall be entertained.

 Waiver

  1. No relaxation or indulgence granted by the seller to the purchaser from time to time shall be deemed to be a waiver of the seller's rights in term hereof, nor shall any such relaxation or indulgence be deemed to be a novation or waiver of the terms and conditions of this agreement or at common law.

Entire Agreement

  1. This agreement constitutes the entire agreement between the seller and the purchaser, notwithstanding the fact that the purchaser may have printed any of its own terms and conditions on any document which may be handed or sent to the seller, and any variations and/or amendments to this agreement shall only be of force and effect if reduced to writing and signing by the parties hereto.

Consent to jurisdiction

  1. The parties agree that this agreement is governed in terms of the laws of the Republic of South Africa and any dispute can be remedies by instituting due process through the Magistrates courts having jurisdiction in respect of the parties in terms of section 28 of the Magistrates Court Act of 1944, notwithstanding that the claim or value of the matter in dispute might otherwise exceed the jurisdiction of the Magistrates Court in respect of course of action.

Return Policy

  1. Returned goods must be accompanied by the original invoice and electronic documentation supplied during the sale of the goods.
  2. Unwanted, unused goods will attract a 10% handling fee if returned within 5 days of purchase and is subject to inspection by the seller's suppliers before acceptance.
  3. Goods designed and/or built according to the purchasers requirements will not be liable for a return.
  4. Goods  that are defaced, (Installed, disassembled, tampered with, primed or modified) and not in its original state as sold, including any damage to the packaging, will not be accepted as a return.
  5. Returned goods will not be replaced immediately but will be granted based on the outcome of an inspection by the manufacturer.
